End-User License Agreement

Agreement

By installing, copying, or otherwise using Amazing Marvin (the "Software"), you agree to be bound by the terms of this End-User License Agreement (the "Agreement"), entered into between you and Amazing GmbH, a Swiss company located in Zurich, Switzerland ("Amazing GmbH").

License Grant

Amazing GmbH grants you a royalty-free, revocable, limited, non-exclusive license to use this Software for personal use or for legitimate business operations within your organization.

This license does not include the right to sublicense, modify, adapt, translate, reverse engineer, decompile, disassemble, or create derivative works based on the Software.

Ownership

The Software is licensed, not sold. Amazing GmbH retains complete title and ownership of all intellectual property rights in and to the Software, including all copies, modifications, and derivative works, as well as all trademarks, logos, graphics, audio, and other content included in or associated with the Software.

You may not claim ownership of any part of the Software, its trademarks, or any designs associated with it.

Restrictions on Use

You may not:

  • Duplicate, copy, or reproduce the Software
  • Use the Software for any unlawful or unauthorized purpose
  • Automatically scrape, crawl, or extract data from the Software or its services
  • Reverse engineer, decompile, or disassemble the Software
  • Modify, adapt, translate, or create derivative works of the Software
  • Rent, lease, or lend the Software
  • Remove or alter any proprietary notices or labels on the Software

Support and Updates

Amazing GmbH provides updates to the Software on an as-needed basis. Amazing GmbH has no obligation to provide continuous support, maintenance, or updates to the Software.

Any updates or modifications to the Software provided by Amazing GmbH will be governed by this Agreement unless separate terms are provided with the update.

Termination

This Agreement is effective until terminated. Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any of its terms and fails to cure such breach within thirty (30) days of receiving written notice.

Upon termination of this Agreement, you must cease all use of the Software and destroy all copies in your possession or control.

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. AMAZING GMBH MAKES NO WARRANTY THAT THE SOFTWARE WILL MEET YOUR REQUIREMENTS, THAT OPERATION OF THE SOFTWARE WILL BE UNINTERRUPTED OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Limitation of Liability

IN NO EVENT SHALL AMAZING GMBH BE LIABLE FOR ANY SPECIAL, INCIDENTAL, INDIRECT, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OR INABILITY TO USE THE SOFTWARE, EVEN IF AMAZING GMBH HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

THE TOTAL LIABILITY OF AMAZING GMBH UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID FOR THE SOFTWARE.

Governing Law

This Agreement shall be governed by and construed in accordance with the laws of Switzerland, without regard to its conflict of law provisions. Any action arising out of or in connection with this Agreement shall be brought exclusively in the courts of Switzerland.

Entire Agreement

This Agreement constitutes the entire agreement between you and Amazing GmbH concerning the Software and supersedes all prior agreements, understandings, and negotiations, whether written or oral.
